1. Acceptance of Terms

These Terms of Service ("Terms") form a binding agreement between you ("you" or "User") and Verse Gaming, Inc. and govern your use of the Verse mobile application, website, and any related services (collectively, the "Services").

By creating an account, accessing, or using the Services, you acknowledge that you have read, understood, and agreed to these Terms, our Privacy Policy, our Sweepstakes Rules, and our Responsible Gaming Policy, each incorporated by reference. If you do not agree, you may not use the Services.

2. No Real Money Gambling

• Verse does not offer real-money gambling.
• Verse provides a free-to-play sweepstakes experience using promotional currencies ("VerseCoins" and "VerseCash").
• VerseCoins have no monetary value and may never be redeemed for cash.
• VerseCash is a promotional currency that may be used to enter sweepstakes for the opportunity to win prizes, subject to the Sweepstakes Rules.
• No purchase is necessary to participate or win. A purchase does not increase your chances of winning.

3. Eligibility

• You must be at least 18 years of age (or older if required by your jurisdiction) to create an account and use the Services.
• You must be physically located in an eligible jurisdiction at the time of participating in sweepstakes. Use of VPNs, proxy servers, or location-masking technologies to circumvent geographic restrictions is prohibited.
• The Services are void in U.S. states, territories, and jurisdictions where prohibited by law, including but not limited to Puerto Rico, Guam, and other U.S. territories.
• Employees, contractors, officers, and directors of Verse and their immediate family members are not eligible to participate in sweepstakes.

4. Accounts and Access

• You must register for an account to use the Services. You agree to provide accurate information and keep it updated.
• You are responsible for maintaining the confidentiality of your login credentials and all activities under your account.
• Verse may suspend, limit, or terminate any account suspected of fraud, abuse, or violation of these Terms.

5. Promotional Currencies

• VerseCoins: Free virtual currency for entertainment use only. Cannot be sold, transferred, or redeemed for cash.
• VerseCash: Sweepstakes entries awarded free, via bonuses with coin purchases, promotions, or alternative methods of entry. VerseCash can be used to enter sweepstakes for prizes as outlined in the Sweepstakes Rules.
• Forfeiture: All VerseCoins and VerseCash are subject to expiration, revocation, or forfeiture at Verse's sole discretion if you violate these Terms, engage in fraudulent activity, or if your account remains inactive for an extended period.
• Verse may modify, suspend, or discontinue its currency systems at any time.

6. Sweepstakes Rules

Participation in sweepstakes is subject to the Verse Sweepstakes Rules, which form part of these Terms. In case of conflict, the Sweepstakes Rules control sweepstakes-specific matters. Sweepstakes entries may also require following the free alternative method of entry (AMOE) described in the Sweepstakes Rules.

7. Prohibited Conduct

You agree not to:

• Use the Services for unlawful or fraudulent purposes;
• Circumvent or attempt to manipulate sweepstakes entry mechanics;
• Use automated systems, bots, or scripts to interact with the Services;
• Infringe on Verse's intellectual property or that of others;
• Misrepresent your location or attempt to bypass eligibility restrictions.

8. Intellectual Property

All content, trademarks, software, and intellectual property associated with the Services are owned by Verse Gaming, Inc. or its licensors. You may not copy, distribute, or exploit Verse IP without express permission.

9. Third-Party Services & Disclaimers

The sweepstakes accessible via the Verse app is solely sponsored and administered by Verse Gaming, Inc. Apple Inc. and Google LLC are not sponsors of, affiliated with, or responsible for conducting sweepstakes.

10. Modification of Terms

Verse may update these Terms, Privacy Policy, Responsible Gaming Policy, and Sweepstakes Rules at any time. Continued use of the Services after updates constitutes acceptance.

11. Arbitration & Class Action Waiver (Delaware Venue)

Binding Arbitration. You and Verse agree that any dispute, claim, or controversy arising out of or relating in any way to your access to or use of the Services, these Terms, the Privacy Policy, or the Sweepstakes Rules shall be resolved exclusively through final and binding arbitration, rather than in court, except that you may assert claims in small claims court if they qualify.

Arbitration Forum and Rules. The arbitration shall be administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules then in effect, except as modified by these Terms. The arbitration shall be conducted in Delaware, unless both parties agree otherwise.

No Class Actions. You and Verse agree that each may bring claims against the other only in your or its individual capacity, and not as a plaintiff or class member in any purported class, collective, consolidated, or representative proceeding. The arbitrator may not consolidate more than one person's claims, and may not preside over any form of representative or class proceeding.

Opt-Out Option. If you do not wish to be bound by this arbitration provision, you may opt out by sending written notice to Verse Gaming, Inc., 37 River Hollow Lane, Houston, TX 77027, within 30 days after first accepting these Terms. Your opt-out will not affect your other obligations under these Terms.

Governing Law. This arbitration agreement is governed by the laws of the State of Delaware, without regard to conflict of law principles.

12. Disclaimers & Limitation of Liability

• The Services—including projections, odds, and informational content—are provided "AS IS" and "AS AVAILABLE." Verse makes no warranties regarding accuracy, timeliness, or reliability.
• Verse disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.
• Verse is not responsible for any damages arising from technical issues, market or content errors, or force majeure events outside its control.
• Verse may void, cancel, or adjust sweepstakes entries in the event of technical failures, obvious errors, or disruptions.
• To the maximum extent permitted by law, Verse's total liability shall not exceed $100.

13. Indemnification

You agree to indemnify, defend, and hold harmless Verse Gaming, Inc., its affiliates, officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from your use of the Services, your violation of these Terms, or your infringement of any third-party rights.

14. Termination

Verse may suspend or terminate your account and access to the Services at its sole discretion, with or without notice, for violation of these Terms or misuse of the platform.

15. Governing Law

These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles. Arbitration will be conducted in Delaware unless otherwise agreed.

16. Survival

Sections relating to arbitration, limitation of liability, indemnification, intellectual property, survival, and governing law shall survive termination of these Terms or your account.

17. Severability & Entire Agreement

If any provision of these Terms is found unenforceable, the remaining provisions shall remain in full force and effect. These Terms, together with the Privacy Policy, Responsible Gaming Policy, and Sweepstakes Rules, constitute the entire agreement between you and Verse regarding the Services.
